Services Management Joint Venture Established
for the Integration of Mission-Critical and Document Management Systems

| Fuji Xerox Co., Ltd. and CAC Corporation
have concluded an agreement to form CrossForce Co., Ltd.,
a joint venture that will integrate the strengths of the two
organizations in providing solutions related to document management
and mission-critical operations, respectively. The primary
aim of the endeavor is to develop an outsourcing business
that can provide customers with an all-inclusive services
menu. The venture company, which will be a consolidated subsidiary
of Fuji Xerox, will be responsible for managing all the new
services. Operations will commence in July of this year.

Fuji Xerox's longstanding capabilities in document management
services with CAC's expertise in information systems management
services. In essence, the new company will be in charge of
managing the high-value-added document outsourcing businesses
of both companies. |

| Relationship Between Investing Companies |
| Both Fuji Xerox and CAC are contracted
by customers to provide solutions and services and accordingly,
design and create systems to optimize business operations.
CrossForce Co., Ltd. will manage all of these solutions and
services. |
| CrossForce will comprise primarily project
managers to test the validity of new services and provide
service-level maintenance. CAC will be contracted to handle
the operating side of the business by carrying out the services
for each customer to help promote the CrossForce business. |
